Munich, December 31, 2006 – Nemetschek AG has acquired 54.3% of a total of 10.6 million shares in the Hungarian company Graphisoft SE (headquartered in Budapest) at a price of EUR 9 per share. The acquisition was implemented by exercising the call option with Graphisoft shareholders agreed on December 21, 2006.

Gerhard Weiß, CEO of Nemetschek AG, regards the strategic participation in Graphisoft as an important move for the group to strengthen the product portfolio and the market position. Together with Graphisoft, Nemetschek will become the leading software company in Europe for IT planning tools for architect, construction engineering and construction companies. With the merger, the two companies have very good chances to obtain a strong market position in the AEC-market (Architecture, Engineering, Construction), both inside and outside Europe.


Public bid by the middle of January 2007

The Managing Board announced that it would make a public bid for the remaining 45,7 % of Graphisoft shares by the middle of January 2007, also at a price of EUR 9.


Graphisoft: Strong planning and design solution 

Graphisoft SE, headquartered in Budapest, Hungary, specialises in software solutions for designing buildings. The company was founded in 1982 and today has 260 employees and a committed, loyal, worldwide network of independent distributors. Graphisoft has its own offices in Hungary, Germany, the USA, Japan, Great Britain, Spain and Finland. More than 100,000 customers in 82 countries use the company’s products. The key strength of the main product, Archicad, is in planning and design. In the 2005 financial year, the Graphisoft Group generated sales of approximately EUR 27 million.
